Vacancy: Legal Counsel - PGMS Location: Farringdon / Brimsdown / Royston Job Family: Legal Job Purpose: Responsible for providing and, where appropriate, managing the provision by external counsel, of high-quality legal services and undertaking the coordinated management and mitigation of legal and compliance risks throughout the refining and manufacturing businesses of the Platinum Group Metal Services business unit within the Efficient Natural Resources sector (the "Businesses"). The Legal Counsel will be responsible for (i) the day-to-day proactive management of legal [and quasi-legal] matters across the risk spectrum and (ii) delivering legal advice to support execution of the PGMS strategic objectives, under the direction of, and accountable to, the Assistant General Counsel (PGMS). Key to the role is understanding the Businesses and developing close working relationships with colleagues across each layer of the organisation to support strategy and improve the effective and efficient identification, assessment, and management of legal risk. Key Responsibilities : Work closely with the Businesses at all levels to support their material day-to-day needs globally across the risk spectrum - e.g. business development, commercial, operations, supply chain, contract, IP, dispute resolution, compliance, etc - utilising central JM Legal resource or external counsel as appropriate. Deliver advice to a high standard, within timeframes required by the business and in a manner that meets commercial needs. Build and maintain close relationships with the senior members of the Businesses. Understand the nature and strategic objectives of the Businesses in order to provide pro-active, risk-based and focussed legal advice. Identify/anticipate risk and opportunities across the business and helping to drive/foster pro-active behaviours and practices. Contributing to legal risk management strategies. Maintain an independent perspective of business matters and ensuring all decisions are viewed in an ethical and risk-based way, providing independent challenge & questioning where appropriate. Work closely with the IP team to ensure JM's valuable IP is managed carefully and in line with the relevant Businesses' strategy, especially in the context of contractual negotiations. Draft and negotiate a variety of legal documents and commercial contracts both in the UK and internationally. This includes complex commercial transactions, sale/purchase agreements for both goods and services, forward sale/purchase of critical materials including PGMs, distributor/agency agreements, joint development agreements, contractor terms and various international deals. Work closely with other members of the Group Legal and Group IP teams globally to ensure global consistency in legal and compliance risk management for the Businesses. Provide, manage or coordinate (as appropriate) advice to the Businesses in respect of ethics and compliance matters working closely with Group Ethics and Compliance. Act as a champion for ethics and compliance throughout the business, prioritising our Health and Safety commitments and our ethical culture of "Doing the Right Thing". Provide appropriate legal and compliance training to the Businesses. Carry out risk assessments within the Business to identify and assess materiality of JM's exposure to contractual and legal compliance risks. Implement a wide range of improvement projects within the legal team and within the Businesses. Implement and maintain standard form documents and procedures, supporting initiatives of the ENR and Group legal teams. Advising on, managing, and directing appropriately certain disputes, litigation or matters likely to become litigious, and negotiation of dispute settlements / litigation management. Manage specialist legal services provided by external firms, settling budgets for advice presented by these firms and managing that legal spend to ensure value for money is delivered and budgets met. Experience drafting and negotiating a broad variety of contracts . Experience dealing hands-on with Compliance matters Experience of working in an international environment is beneficial.
